Terms & Conditions of Sale and Service
Effective Date: 08/05/2025
SECTION A: GENERAL TERMS (Applies to All Equipment and Services)
1. AGREEMENT TO TERMS
By purchasing, leasing, or receiving equipment or services from Access Rosin ("Seller"), the customer ("Buyer") agrees to these Terms and Conditions, which shall govern and supersede any other written or oral agreements unless otherwise stated in a mutually signed contract.
2. COMPANY IDENTIFICATION
Access Rosin is a U.S.-based fabricator and automation manufacturer of industrial equipment designed for solventless material separation, water-based extraction, and mechanical pressing applications. All equipment is engineered and assembled using food-grade or industrial components and is intended for lawful commercial or personal use as determined by the end user.
Access Rosin does not manufacture, process, handle, store, or sell controlled substances or any cannabis-derived materials. Seller's equipment is not intended to be classified as cannabis manufacturing machinery, and any interpretation or classification is the sole responsibility of the Buyer.
3. DEFINITIONS
- Standard Equipment: Benchtop models or plug-and-play units designed for personal or lab-scale use.
- Commercial Equipment: Custom-built, large-scale systems including Smart Agitation Systems, Spin Flow Vibration Tanks, integrated presses, and all floor-plan-based or installation-required solutions.
- Services: Includes installation, delivery, commissioning, training, repairs, preventative maintenance, and ongoing support.
4. QUOTES AND ACCEPTANCE
All quotes issued by Seller are valid for thirty (30) days unless otherwise stated. Acceptance by Buyer must be received in writing. Orders are only binding upon written confirmation by Seller.
5. PAYMENT TERMS
Unless otherwise agreed in writing:
- 50% deposit due upon order.
- 40% due prior to shipment or delivery.
- 10% due upon commissioning or 30 days after delivery, whichever comes first.
Late payments incur a 2% monthly interest. All payments must be made in USD.
6. TAXES
All applicable federal, state, and local taxes are the responsibility of the Buyer. Seller will collect sales tax unless a valid exemption certificate is provided.
7. CANCELLATION & CHANGES
Orders may not be cancelled or changed without Seller's written consent. Cancelled orders may incur a cancellation fee up to 35% of the total value.
8. GOVERNING LAW
This agreement is governed by the laws of the State of California. Venue shall be Orange County, CA. Arbitration may be enforced at Seller's sole discretion.
SECTION B: STANDARD EQUIPMENT (Benchtop Models)
9. DELIVERY
Benchtop models typically ship within 4–6 weeks of deposit. Shipping terms are FOB Origin. Title and risk of loss transfer to Buyer upon shipment.
10. WARRANTY
Standard equipment carries a one-year limited warranty against defects in materials and workmanship.
- Warranty voided by misuse, neglect, unauthorized modification, or improper cleaning.
- Return for service requires RMA approval.
11. RETURNS
Returns are not accepted unless authorized in writing. Buyer is responsible for all return shipping and restocking fees.
SECTION C: COMMERCIAL EQUIPMENT (Agitators, Tanks, Integrated Systems)
12. DESIGN AND APPROVALS
Buyer is responsible for reviewing and approving all floor plans, renderings, and technical drawings prior to production. Delays in approvals may delay lead times.
13. SITE PREPARATION
Buyer must ensure the site is ready for installation, including power, drainage, and structural support. Seller is not responsible for delays or damages caused by incomplete or non-compliant site conditions.
14. DELIVERY AND INSTALLATION
Delivery, rigging, and installation dates are estimated and not guaranteed. Delays due to weather, shipping disruptions, or force majeure are not the responsibility of the Seller.
15. COMMISSIONING & TRAINING
Commissioning includes start-up calibration and performance verification. Training is conducted on-site or virtually and must be completed within 30 days of delivery. Failure to complete training does not delay final payment.
16. WARRANTY
Commercial equipment carries a one-year parts warranty and 90-day labor support. Extended warranties are available by separate agreement.
Warranty excludes:
- Wear parts (e.g., gaskets, filters)
- Damage from improper use or unauthorized service
- Performance issues due to improper installation
17. INTELLECTUAL PROPERTY
All designs, systems, custom features, and controls remain the intellectual property of Access Rosin. Reverse engineering or duplication is prohibited.
18. SUPPORT & SERVICE
Preventative maintenance plans are available. Emergency service is billed at standard hourly rates. Buyer must maintain a trained operator onsite.
SECTION D: SERVICE TERMS
19. INSTALLATION SERVICES
Installation includes basic connection of equipment. Buyer is responsible for permitting, plumbing, electrical, and compliance with local codes.
20. COMMISSIONING & TECHNICAL SUPPORT
Commissioning includes a single site visit unless otherwise stated. Remote technical support is available during normal business hours.
21. MAINTENANCE & REPAIR
Access Rosin offers annual preventative maintenance contracts. Labor and parts outside warranty are billed according to the current service rate schedule.
SECTION E: DISCLAIMERS & LIMITATIONS
22. LIMITATION OF LIABILITY
Seller shall not be liable for indirect, incidental, or consequential damages. Total liability shall not exceed the purchase price of the equipment.
23. COMPLIANCE WITH LAWS
Buyer is solely responsible for ensuring that all equipment is installed, operated, and maintained in full compliance with applicable local, state, and federal regulations. This includes, but is not limited to, all agricultural, manufacturing, environmental, and controlled substance laws.
Seller disclaims any responsibility for the intended or unintended use of its equipment by the Buyer or third parties. Equipment may not be used in any unlawful activity.
24. DISCLAIMER REGARDING PRODUCT USE
Access Rosin expressly disclaims any association with the manufacturing, handling, or processing of federally controlled substances. Seller’s equipment is not intended to be labeled or marketed as cannabis production machinery. Buyer acknowledges that the suitability of the equipment for their intended use is their sole responsibility and that all legal compliance is their obligation.
25. FORCE MAJEURE
Seller is not liable for delays due to events beyond its control, including natural disasters, labor strikes, government actions, pandemics, or transportation disruptions.
SECTION F: FINAL PROVISIONS
26. ENTIRE AGREEMENT
This document constitutes the full agreement between the parties and supersedes all previous communications or agreements.
27. SEVERABILITY
If any provision is deemed unenforceable, the remaining provisions shall remain in effect.
28. ASSIGNMENT
Buyer may not assign this agreement without written consent. Seller reserves the right to assign subcontractors for installation or service.
